The National Venture Capital Association (the "NVCA").
The NVCA is one of the nation's largest venture capital trade groups, and the website provides many useful resources, including model legal documents for early stage financing. These documents assume that the issuer is a corporation, however for entrepreneurs in many cases it may be prudent to set up their business entity as a limited liability company.
